1. Account Access & White-Label Platform

Account Registration: You must provide accurate and complete business information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.

 

Authorised Use: You are granted a limited, non-exclusive, non-transferable right to access and use the platform for your internal business operations or as expressly permitted under your plan.

 

Prohibited Conduct: You agree not to reverse engineer, duplicate, resell without authorisation, or attempt to compromise the security or integrity of the platform.

 

2. Subscriptions, Payments, & Cancellations

Fees: Access to certain features or SaaS tiers requires paid subscription plans. All fees are quoted in [GBP / USD] and billed in advance on a recurring basis via our third-party payment processor (e.g., Stripe).

 

Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.

 

Refunds: All fees are non-refundable unless required by law or explicitly agreed to in writing.

 

Failed Payments: We reserve the right to suspend or terminate access to the Services if payments fail or accounts become past due.

 

3. Messaging & Communication Compliance (SMS, Email, A2P)

Opt-In Requirements: You agree that all contacts added to the system for email, voice, or SMS campaigns have explicitly opted in to receive communications in accordance with applicable laws (including GDPR, PECR, and TCPA/A2P 10DLC regulations).

 

Prohibited Messaging Content: You may not use the Services to send unsolicited bulk messages (spam), misleading content, or prohibited material (such as high-risk financial schemes, illegal items, or harassment).

 

Carrier Fees: You are responsible for any messaging fees, carrier surcharges, or compliance registration costs associated with your account’s SMS or call volume.

 

4. Data Protection & Ownership

Your Data: You retain all ownership rights to the business data, contact lists, and client records you upload to the Services ("Customer Data").

Data Backup: While we maintain regular backups, you are responsible for maintaining independent copies of critical data.

 

5. Service Availability & Disclaimers

Uptime & Maintenance: We strive to maintain continuous platform availability, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance or technical updates may cause temporary downtime.

 

"As-Is" Provision: The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

 

6. Limitation of Liability & Indemnification

Limitation of Liability: To the maximum extent permitted by applicable law, Interbright  shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data.

 

Indemnification: You agree to indemnify and hold harmless Interbright from any claims, losses, liabilities, or legal fees arising out of your breach of these Terms or misuse of the Services.

 

7. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, fail to pay fees, or engage in activities that threaten the security or compliance of our platform or carriers.

 

8. Governing Law & Updates

Governing Law: These Terms shall be governed by and construed in accordance with the laws of England. 

 

Modifications: We reserve the right to update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
